Terms of sale

1. Who sells

ZERTIDOX S.L. (NIF B93867711), Via Laietana 59, 4th floor, door 1, 08003 Barcelona, Spain, registered in the Registro Mercantil de Barcelona, sheet B-662228, folio 1, 1st entry. Contact: info@zertidox.com, phone +34 934 124 227. "We" means ZERTIDOX S.L.; "you" means the person or company that buys.

2. What we sell

Fast-track review: €49 per skill, VAT included. For authors of an agent skill. It includes:

• a reserved review slot instead of the free community queue;
• a reading of the skill with our published method: SKILL.md, every script and allowed tool, license and author, install command;
• private findings sent to you before publication;
• 7 days to fix issues before the verdict goes live, and one re-check after your fixes;
• a public verdict page and a badge linking to it.

Skill audit for teams: €390 (up to 10 skills) or €790 (up to 25 skills), one-off, VAT not included. For businesses and professionals only: the checkout asks for your tax ID (VAT number) and for you to confirm that you buy for your business or profession. It includes a reading of each skill on your list with the same method, a private report with one verdict per skill (allow, allow with limits, or block, and why), copies and forks flagged with the original to use instead, and a short install policy your team can adopt. We deliver the report within 10 working days of agreeing the list of skills with you.

What a review or an audit is not: a penetration test, a code audit of your own software, a certification or a guarantee that a skill is safe. It is a reading of the skill's files on a given date. Skills can change afterwards.

3. Prices, tax, payment and invoices

Prices are in euros. Payment is made in full in advance through Stripe's secure checkout. We never see or store your full card number. After payment, Stripe's confirmation page lets you download your receipt and the invoice issued by ZERTIDOX S.L., and our scheduling email includes the invoice too.

• Fast-track review: €49 is the final price. Where VAT applies, it is included in the €49 and shown on the invoice.
• Team audit: prices exclude VAT. VAT, or the reverse charge for EU businesses with a valid VAT number, is calculated at checkout from your billing address and tax ID.

4. How the contract is made

1. You choose the service on the site and click its payment button.
2. On Stripe's page you enter your details (and, for the fast-track review, your skill's repository URL and your answer to the "start now" question in section 7) and pay.
3. Before you pay, Stripe's page shows your details and the total; you can correct any of them, or go back, until you press the pay button.
4. The contract is formed when the payment is confirmed, and Stripe's confirmation page confirms it. Within 2 working days we email you to schedule the work: the review slot (fast-track) or the list of skills and the delivery date (team audit).

These terms are available in English; a Catalan or Spanish version is available on request. We keep a record of each order and its invoice, and every version of these terms with its date; on request we send you the version in force when you ordered.

5. When we cannot do it

If we cannot review your skill (for example, the repository is private, empty, removed, or is not an agent skill), we tell you and refund the full price to the payment method you used, within 14 days.

6. Independence of the verdict

Paying buys a reserved slot and private findings, never the result. A paid review can end in any verdict, including "Skip". We do not remove or soften a published verdict or its cons because of a payment, and payment does not buy a place in any ranking. Fast-tracked pages say so at the top: "Reviewed early at the author's request." By buying, you accept that the verdict is ours.

Team audit reports stay private unless you ask us in writing to publish them.

7. Right of withdrawal (consumers only)

If you buy as a consumer (for purposes outside your trade, business, craft or profession), you have the right to withdraw from this contract within 14 days of the day it was made, without giving any reason, under articles 102 to 108 of the Spanish consumer law (Real Decreto Legislativo 1/2007, TRLGDCU).

To withdraw, tell us clearly before the 14 days end, by email to info@zertidox.com, for example with the model form below. Subject to the next paragraph, we refund everything you paid, with the same payment method, within 14 days of receiving your notice, at no cost to you.

If you ask us to start within the 14 days. The fast-track checkout asks a required question, "When should we start?", with two answers: "Start now: I lose withdrawal once fully provided" or "Start after the 14-day withdrawal period". We only start within the withdrawal period if you choose the first answer, by which you expressly ask us to start and acknowledge the following. Before we start, our scheduling email repeats your answer and attaches these terms and the model withdrawal form, so you keep a copy.

• if you withdraw after we have started, you pay the part of the service already provided, in proportion to the whole (article 108.3 TRLGDCU); and
• once the service has been fully provided (the private findings delivered, the 7-day fix window over, the re-check done if you asked for it, and the verdict published), you lose the right of withdrawal (article 103.a TRLGDCU).

If you choose to start after the withdrawal period, we start the review once the 14 days have passed.

Withdrawing refunds the price. It does not stop us from reviewing a public skill later through the free community queue, like any other skill.

Businesses and professionals have no right of withdrawal. The team audit is sold only to businesses and professionals.

8. Liability

We do our work with care and with the published method. We are not liable for damage caused by installing or running any skill, whether or not we have reviewed it, nor for changes made to a skill after the date of the review.

For businesses and professionals, our total liability under each order is limited to the price paid for it, except in cases of wilful misconduct or gross negligence.

Nothing in these terms limits the rights that consumers have under Spanish or EU law.

9. Complaints

Write to info@zertidox.com with your order and the problem. We answer within 10 working days. You can also ask for the official complaint forms (fulls oficials de reclamació / hojas de reclamaciones) at that address. We do not adhere to any alternative dispute resolution entity (article 40 of Spanish Law 7/2017).

10. Law and courts

These terms are governed by Spanish law. If you are a consumer living in another country, this choice does not take away the protection that the mandatory rules of that country give you. If you are a consumer, you may go to the courts of your place of residence. If you are a business or professional, the courts of Barcelona have jurisdiction.
